Terms of Service
Effective: September 23, 2026
Your data stays yours. Attention Ninja owns its automation and workflow designs, reusable systems, and other materials it creates. Software supplied under our licenses is available as part of your service; those licenses do not transfer to you when service ends.
You keep your Attention Audit and Growth Plan whether or not you deploy. Your accepted deployment scope explains the work, access, and charges you choose.
1. Who these terms cover
These Terms of Service govern all websites, subdomains, landing pages, portals, hosted forms, demos, applications, and other online properties that Attention Ninja LLC ("Attention Ninja," "we," or "us") owns or operates as part of its services, regardless of the domain name used. This includes attentionninja.com, attn.systems, their subdomains, the Attention System, and other domains and subdomains used to deliver our services. "You" means the customer or website user. A person accepting an order for a business must be at least 18 and authorized to act for that business.
Paid services require an accepted order, proposal, or deployment scope (your "Order") stating the services and charges. Requesting a Blueprint, submitting a contact form, or trying a free demo does not by itself authorize a purchase or recurring charge.
The Order controls the agreed services, prices, and any expressly identified exceptions to these Terms. The Data Processing Addendum below controls the processing of customer personal data. Mandatory law and any required data-transfer clauses take precedence. Our Privacy Policy explains our handling of personal information and is not a blanket consent to marketing or every use of data.
For existing customers, revised service terms apply subject to required notice, acceptance, and any existing agreement. Posting this page alone does not retroactively replace negotiated rights.
2. Your Attention Blueprint and prepared work
We prepare your Attention Blueprint without a purchase obligation. You may keep, use, and share your Attention Audit and Growth Plan for your business, even if you do not deploy. This continuing permission does not transfer ownership of our underlying methods, templates, software, or reusable systems.
Prepared websites, automations, and other assets are initially supplied for review. Review or demo access does not authorize production use, copying the underlying implementation, or transferring it to another provider. Access for use in your business begins with deployment under your Order. Further changes and customization occur within the agreed deployment scope; unlimited revisions before deployment are not included.
An AI receptionist demo demonstrates one capability. It is not the complete Attention System and does not mean that a particular AI service is included in every subscription.
3. Your customer data and supplied materials
As between you and Attention Ninja, you retain your rights in your customer and prospect records, contact details, transaction records, communications, and other business information stored or generated for your business through the service ("Customer Data"). You also retain your rights in content, logos, photos, documents, and other materials you provide ("Customer Materials"). Individuals and other rights holders retain their legal rights in that information and material.
You authorize us and our service providers to host, copy, transmit, format, and otherwise use Customer Data and Customer Materials only as needed to deliver, support, secure, and administer your services, follow your lawful instructions, or meet legal obligations. Personal-data processing is subject to the Addendum below. This permission does not give us ownership of your data or permission to sell it, use it for unrelated advertising, or train our own general-purpose AI models on it.
Customer Data includes your business records and the results recorded about your customers. It does not include the underlying software, workflow logic, reusable designs, system architecture, templates, or other Attention Ninja or third-party intellectual property used to create or manage those records.
4. Attention Ninja designs and other intellectual property
Attention Ninja retains ownership of the materials it creates or owns, including automation and workflow designs, sequences, implementation logic, system architecture, templates, code, integrations, configurations, reusable prompts, methods, documentation, and related improvements ("Attention Ninja Materials"), excluding your Customer Data and Customer Materials. This includes materials created or customized while serving you, unless a separate written agreement expressly identifies an ownership transfer.
Paying a subscription, setup, customization, or development fee does not itself assign copyright, make work a work made for hire, or transfer ownership of Attention Ninja Materials. Subject to your Order and these Terms, you receive a limited, nonexclusive right to use the deployed materials through the service for your business while the applicable service remains active. This right does not include reselling, sublicensing, distributing, extracting, or transferring our implementation to another account or provider without written permission. Restrictions apply only to the extent permitted by law.
Prepared website designs, layouts, and other creative or technical assets we create are covered by this section unless your Order expressly provides otherwise. Your own supplied content remains yours. An express transfer of a named deliverable does not transfer underlying reusable materials or third-party rights unless separately and expressly agreed.
5. Third-party software and licenses
We use software, hosting, communication services, AI services, and other technology owned by third parties and licensed to Attention Ninja. Those providers retain their intellectual property. Your service gives you only the access we are permitted to provide, subject to applicable provider restrictions disclosed with the service.
You do not acquire ownership of that software, our vendor accounts, subscriptions, agency arrangements, credentials, or licenses. When the applicable service ends, you have no right to take over, transfer, retain, or continue using software or licenses supplied under our arrangements. A data export does not transfer a software license, workflow, snapshot, template library, source code, or the system itself.
Accounts or licenses you independently obtain in your own name remain subject to your direct agreement with the provider. Your existing ownership rights in your own domain names and supplied materials are not changed by these Terms. Any domain registration, phone-number porting, or transfer assistance we provide is subject to the Order and provider requirements; telephone numbers and third-party accounts are not guaranteed to be portable.
6. What service includes
Access to the full Attention System does not mean that every available tool is configured, customized, deployed, or managed for you. Your Order defines the work included for your business. Additional setup, development, migration, training, and ongoing management are separately agreed where not included. Feature availability also depends on your selected services and the underlying providers.
You are responsible for timely access, approvals, accurate business information, and permission to use materials you supply. We agree changes in scope or additional charges before undertaking additional paid work. No specific sales, search ranking, lead volume, or revenue outcome is guaranteed.
7. Charges, renewals, and refunds
Your Order identifies subscription fees, setup or deployment charges, and any separately priced services. Certain usage, including email, text messaging, phone usage, and some AI usage, is billed separately under the rates or usage terms presented to you. Applicable taxes and provider charges may also apply. Any prepaid usage balance or automatic refill arrangement must be disclosed and authorized separately.
Subscriptions are monthly unless you expressly select another billing period. Recurring fees are charged in advance to your authorized payment method until canceled. Usage may be billed after it is incurred. No long-term commitment is required; selecting a prepaid billing period does not transfer ownership of the system or its licenses.
We will give at least 30 days' notice before increasing our recurring subscription fee, with the increase applying no earlier than the next renewal after that notice. Provider usage-rate changes will be communicated before application where practicable. You may cancel before renewal. We will not retroactively increase agreed charges for completed work.
Except where your Order or applicable law provides otherwise, fees for completed work, usage already incurred, and the current paid subscription period are nonrefundable and are not prorated for voluntary cancellation. If we discontinue your paid service without cause before that period ends, we will refund its unused prepaid subscription portion. Contact us promptly about billing errors; doing so does not waive rights you have under law. Undisputed amounts remain payable.
8. Cancellation and suspension
You may cancel by emailing support@attentionninja.com from an authorized account contact and identifying the service to cancel, or by using a cancellation control if one is provided. A request received before your next renewal stops that renewal. There is no requirement to give 30 days' advance notice and no early-termination penalty for a monthly subscription. We may reasonably verify account authority, but our processing time will not move a timely request past the renewal date.
Unless you request earlier closure, access continues through your current paid period. Cancellation does not erase charges already incurred or separately agreed completed work. We will confirm the effective end date.
We may suspend access as reasonably necessary for unlawful use, security threats, material breach, unpaid undisputed charges, or provider requirements. Where practicable, we will explain the issue and allow a reasonable opportunity to resolve it. We may act immediately where necessary to prevent harm or comply with law. For ordinary discontinuation of service by us, we will give reasonable advance notice and an opportunity to export your data.
9. Your data and access when service ends
Your Customer Data and Customer Materials remain yours after cancellation. Request an export before access ends so there is time to complete it. We will provide reasonable assistance to return the data we retain in available standard export formats after verifying your authority. Ending service does not by itself forfeit your rights in that data. A specialized migration, conversion, or reconstruction may require a separate agreement; obtaining a standard available export does not require buying our workflows or software.
Data export and return do not include Attention Ninja Materials or third-party software and licenses. When your service period ends, permission to use our hosted implementations and licensed services ends. We are not required to transfer an entire subaccount, workflow library, configuration, or operating environment to provide your data.
Return and deletion of personal data follow the Addendum and Privacy Policy. Do not rely on indefinite storage after termination. Some records may be retained for legal, billing, dispute, security, or backup purposes as described there. A data-return request does not extend production access or software-license rights.
10. Responsible use and communications
You must have the rights and lawful basis needed for the data you provide and the uses you instruct. Keeping a contact in a CRM does not automatically authorize marketing to that person. You are responsible for notices, channel-specific permissions, consent records, and honoring opt-outs for your campaigns. We remain responsible for our own communications and applicable obligations; these Terms do not make every communication solely your responsibility regardless of who sends it.
Do not use the service for unlawful, deceptive, infringing, abusive, or discriminatory activity; unsolicited communications prohibited by law; malware; unauthorized access; or attempts to disrupt another account or service. Do not reverse engineer or copy protected software except where law permits. Security testing requires prior written authorization. We do not offer an automatic bug-bounty payment.
Keep account access secure, limit access to authorized users, and promptly report suspected compromise. Do not submit regulated health records, payment-card security codes, government identifiers, or similarly sensitive information unless the feature is intended for it and the required safeguards and agreements have first been confirmed. Use designated payment fields for payment details.
11. AI features and recordings
AI outputs may be inaccurate, incomplete, or unsuitable. Review important content and configure human review or escalation appropriate to your business. AI is not a substitute for professional judgment or an emergency service. Your Order and feature settings determine which AI capabilities and authorized actions are enabled.
Voice and messaging features may create recordings, transcripts, summaries, and other records when enabled. You must give required notices and obtain appropriate permissions for your use. Outbound AI calls and messages remain subject to applicable communications rules. AI provider processing and retention depend on the selected service and applicable agreements; use of an AI feature is not a promise that every provider has identical data practices. See our Privacy Policy and the Addendum.
12. Attention Ninja text-message terms
If you opt in, Attention Ninja LLC may send the types of texts described when you sign up, such as updates about your request or service, or marketing messages where separately selected. Message frequency varies. Message and data rates may apply. SMS consent is not a condition of purchase, and giving us a telephone number alone is not marketing consent.
Reply STOP to the sending number to unsubscribe from that messaging program. You may receive one confirmation of your opt-out. Reply HELP for assistance, or email support@attentionninja.com. To rejoin, provide a new opt-in. Carriers are not responsible for late or missing messages. Our Privacy Policy explains the handling of mobile information. Stopping texts does not cancel your paid services; use the cancellation process above.
13. Confidentiality and feedback
Each party will use the other's nonpublic business information only for the service relationship, protect it with reasonable care, and disclose it only to people or providers who need it and are subject to appropriate confidentiality obligations, or where law requires. This does not cover information lawfully public, independently developed, or lawfully obtained without restriction. We will not use your name, logo, or private results as a testimonial without permission.
You retain ownership of your supplied content. You may voluntarily give nonconfidential product feedback, which we may use to improve our services without owing a fee. This does not grant a license to your confidential information, customer records, or other material merely because it was submitted during support or a Blueprint request.
14. Availability and limits of liability
We will perform agreed services with reasonable care. Except for express commitments in your Order and rights that law does not allow us to exclude, the platform and third-party features are provided as available, without a promise of uninterrupted operation, error-free outputs, or a particular business result. We remain responsible for obligations we expressly undertake; using a provider does not erase those obligations.
To the extent permitted by law, Attention Ninja is not liable for indirect, consequential, special, or punitive losses, including lost profits. Our aggregate liability arising from the services is limited to the service fees you paid us during the three months before the event giving rise to the claim. These exclusions and limits do not apply to fraud, willful misconduct, or liability that applicable law does not permit to be limited, and do not eliminate an expressly owed refund or data-return obligation.
You will reimburse us for reasonable losses from third-party claims to the extent caused by your unlawful use, infringement through materials you supply, or material breach of your communications-consent duties. This does not cover loss caused by our own breach, negligence, or misconduct. We must give prompt notice and reasonable cooperation, and no settlement may impose obligations on you without your consent. Any defense arrangements must be reasonable.
15. Copyright concerns
Send copyright complaints to support@attentionninja.com, identifying the work, the allegedly infringing material and its location, your contact information, your authority to act, and the basis of the complaint. We may remove or restrict infringing material and address repeat infringement. Statutory notice, counter-notice, and restoration procedures apply where required. This contact information is not a representation that a particular statutory safe harbor or agent registration applies.
16. Governing law and disputes
Missouri law governs, subject to mandatory rights under applicable law. Contact us first if you have a dispute so we can try to resolve it. Doing so does not shorten a statutory filing deadline or prevent urgent relief.
For business customers who accept these Terms as part of an Order, disputes will be resolved through individual binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules, governed by the Federal Arbitration Act, in St. Louis County, Missouri, unless the parties agree to remote proceedings or another location. Either party may bring an eligible individual claim in small-claims court or seek interim relief from a competent court to protect rights pending arbitration. Mandatory law and applicable arbitration rules govern any required exceptions and allocation of fees. No class or representative arbitration is authorized to the extent this restriction is lawful. This clause does not waive nonwaivable rights or bind a visitor merely for reading our website.
Claims remain subject to the deadlines established by applicable law. These Terms do not shorten those deadlines.
17. Changes and general provisions
We may update these Terms prospectively and will identify the effective date. Material changes affecting an existing paid service will be communicated in advance and will not take effect earlier than the next renewal following at least 30 days' notice, except changes required sooner by law or necessary to address an urgent security issue. We will obtain additional acceptance or consent where required. Changes do not retroactively transfer your data rights, expand uses of personal data, or resolve an existing dispute in our favor.
The accepted Order, these Terms, and the Addendum form the service agreement. No failure to enforce a provision waives it. If a provision is unenforceable, the remaining provisions continue to the extent lawful. Neither party is responsible for delays caused by events beyond its reasonable control, but this does not excuse charges already incurred or mandatory duties. Ownership, confidentiality, accrued payment obligations, applicable data obligations, and dispute provisions survive termination as appropriate.

19. Customer Data Processing Addendum
This Addendum applies when we process personal information in Customer Data on your behalf. It is part of your service agreement and continues while we retain that data. It does not govern our independent account administration, billing, or website marketing, which are described in the Privacy Policy.
Roles and instructions
You act as controller or business for your customer information, or as a processor acting for another controller. Attention Ninja acts as your processor, service provider, or subprocessor, as applicable. Your Order, service configuration, and lawful written directions are your documented instructions. You determine the purposes of your customer operations and are responsible for their lawful basis and required notices.
We process data to host and operate the agreed CRM, websites, messaging, booking, payment integrations, automations, reporting, AI features, and support. Processing may include collection, storage, organization, retrieval, transmission, analysis for those features, export, and deletion. Depending on your enabled services, the data concerns prospects, customers, staff, and other business contacts and includes identifiers, contact details, communications, appointment and transaction records, supplied content, and associated usage information. Sensitive data is not authorized unless separately agreed with appropriate safeguards.
We will process personal data only on your documented instructions or as law requires, and notify you if we reasonably believe an instruction violates applicable data-protection law. We will not sell or share it for cross-context advertising, use it outside the service relationship, or combine it with unrelated customer data except as applicable law permits for the contracted service. We will notify you if we can no longer meet applicable processor obligations and cooperate in reasonable steps to stop and remedy unauthorized processing.
Confidentiality, security, and providers
We will limit access to authorized people who need it, require appropriate confidentiality obligations, and maintain reasonable administrative, technical, and organizational safeguards suited to the processing risks. These obligations include access management, secure handling and transmission, and incident response; they are not a promise of a particular certification or that no incident can occur.
You authorize the hosting, CRM, communications, payment, AI, and support providers needed for your selected services. We will make information about their identities, locations, and processing roles available to you on request and before processing where applicable law requires. We will give advance notice of intended new subprocessors, allowing a reasonable opportunity to raise a data-protection objection. We will work to resolve a substantiated objection or allow termination of the affected service if no reasonable solution is available.
We will require appropriate written data-protection duties from subprocessors we engage and remain responsible for their performance to the extent required by law. Where an international transfer needs additional safeguards, we will put the required lawful transfer mechanism in place before the restricted transfer. This Addendum does not claim our independent certification under a privacy framework or substitute for required transfer clauses.
Assistance and incidents
We will reasonably assist with rights requests, required assessments, and regulatory inquiries relating to the processing we perform, taking account of the service and information available. If a person contacts us about your customer data, we will refer the request to you unless law requires otherwise. We will notify you without undue delay after becoming aware of a personal-data breach affecting your data, share available information, and cooperate in containment, investigation, and legally required notices. We may provide information in stages as it becomes available.
We will make reasonably necessary compliance information available and permit proportionate assessments or audits required by applicable law, with reasonable notice and safeguards for security and other customers' confidentiality. You may take reasonable steps to verify that we use personal data consistently with the agreed obligations. Any charges for extraordinary assistance must be agreed and must not prevent mandatory assistance.
Return and deletion
At the end of the service, on your instructions we will return or delete the personal data we hold for you and direct our relevant providers to do the same, unless retention is legally required. Return uses available standard formats and does not include our designs, software, or licenses. Data retained in backups remains protected, is not used for ordinary business purposes, and is removed through applicable backup-retention cycles. We will explain applicable retention or technical limitations on request. Nothing in this Addendum reduces an individual's statutory rights.
